Terms of Service
About these Terms
Last updated: October 26, 2026
These Terms of Service are a legally binding agreement between [DailyLight, Inc.] ("DailyLight", "Company", "we", "us" or "our") and each person who visits the Website or uses the Services, either individually or on behalf of an employer or other entity ("you").
The Services include our website at https://dailylight.ai (the "Website"), the DailyLight mobile and web applications (the "App"), and the DailyLight platform that lets creators, organizations and professionals deploy AI assistants built on their own content (the "Platform"), offered on a Software-as-a-Service basis.
By using the Services you accept the Terms. If you act on behalf of an employer or entity, you represent that you have authority to bind it, and the Terms bind that entity.
The Terms also include our pricing page at https://dailylight.ai/pricing ("Pricing Page"), our Privacy Policy at https://dailylight.ai/privacy ("Privacy Policy"), our Acceptable Use Policy ("AUP"), and, for Creators, any Creator Agreement or order form signed with us ("Creator Agreement"). If a Creator Agreement conflicts with these Terms of Service, the Creator Agreement prevails. Together these are the "Terms".
NOTE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 15.
1. The Services; Right to Use
1.1 Who uses DailyLight
- "Creator" means a person or entity that opens a Platform account to build, brand and operate an AI assistant based on its content (an "Assistant").
- "End User" means a person who uses the App or any Assistant, including on a Creator's custom domain.
- "Team Member" means a person a Creator authorizes to access its Platform account.
1.2 Right to use
Subject to your compliance with the Terms and payment of applicable Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during your subscription, solely as permitted by the Terms and our documentation ("Company Documents").
Creators may use the Platform to offer Assistants to their own audience. Creators may not resell, sublicense or white-label the Platform to other creators or businesses without a separate written agreement with us.
1.3 Changes to the Services
We may change, update, limit or discontinue any feature, content, AI model or part of the Services at any time. Where a change materially reduces a paid Creator's core functionality, we will give reasonable prior notice.
2. Accounts and Obligations
2.1 Accounts and age
You must register an account to use most of the Services (an "Account"). You must be at least 13 years old, or 16 in the European Union, or the minimum age required in your jurisdiction. Creators must be at least 18. Paid features require you to be of legal age to enter a contract.
You must provide accurate, complete and current information, keep your credentials secure, not share logins between individuals, not register accounts by automated means, and notify us promptly at support@dailylight.ai of any unauthorized access.
2.2 Creator responsibilities
Each Creator is responsible for:
- All activity in its Account, including by Team Members;
- The content its Assistant is built on, and the persona, instructions and settings it configures;
- Its relationship with its audience, including any promises it makes to End Users;
- Any custom domain, ad account or third-party service it connects, and its compliance with their terms;
- Complying with laws that apply to its activity, including consumer protection, advertising, data protection and sector-specific rules.
DailyLight does not provide legal advice, and does not recommend how any law applies to a Creator's use of the Services.
2.3 End User responsibilities
End Users are responsible for their own use of the App and Assistants and for any decisions they make based on an Assistant's responses. Following a Creator in the App does not create a contract between the End User and DailyLight about that Creator's content, products or services.
2.4 Sanctions and export control
You represent that you are not located in, ordinarily resident in, or using the Services from a country or region subject to comprehensive U.S. embargoes; that you are not on, or owned 50% or more by anyone on, the U.S. SDN List or any similar EU, UK or Israeli sanctions list (a "Sanctioned Party"); and that you will not use or make the Services or outputs available to or for the benefit of a Sanctioned Party. You will comply with all applicable export control laws and indemnify DailyLight for any loss caused by a breach of this section.
2.5 Communications
We may send you service, billing and security notices. With your consent where required by law (including Israel's Communications Law), we may also send promotional messages. You can unsubscribe at any time using the link in each message.
2.6 Single sign-on
You may register or log in using a third-party account such as Google or Apple ("SSO"). By doing so, you represent that you are entitled to grant us that access and that doing so does not breach any agreement or law.
3. Account Ownership
The person or entity whose email is registered as the Account owner in our records is the owner of the Account. In a dispute over a Creator Account, we may consider the registered email, the billing details, the registrant of a connected custom domain, and whether the email belongs to an organizational domain. We may request supporting documents, and may suspend the Account until the dispute is resolved, without liability. Our reasonable determination is final as between us and the disputing parties.
4. Content and Licenses
4.1 Creator Content
"Creator Content" means everything a Creator uploads, connects or provides to the Platform, including videos, audio, texts, documents, images, logos, branding, persona instructions, and content we ingest from channels the Creator connects, together with the transcriptions and indexes we create from it. As between the parties, the Creator owns its Creator Content.
4.2 License from Creators
Each Creator grants DailyLight and its service providers a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, process, transcribe, index, translate, adapt, display and transmit Creator Content, during the term of the Creator's Account and for any wind-down period, solely to:
- Provide, secure and support the Services, including generating Assistant responses for End Users;
- Create marketing creatives and run campaigns the Creator requests;
- Comply with law and enforce the Terms;
- Keep backups.
DailyLight will not use Creator Content to train AI models that serve other Creators, and will not make it available to other Creators. We may use de-identified, aggregated usage data to operate and improve the Services.
Unless a Creator opts out in its settings, DailyLight may display the Creator's name, logo and public Assistant page to identify it as a customer in our marketing. The Creator may withdraw this permission at any time going forward.
4.3 End User Inputs
"Inputs" means the questions, messages, voice and video an End User sends to an Assistant. End Users grant DailyLight a license to process Inputs to provide the Services, as described in the Privacy Policy. End Users should not submit content they do not have the right to share.
4.4 Creator warranties
Each Creator represents and warrants that:
- It owns or has all rights, licenses and consents needed to grant the license above, including from any person who appears in or contributed to its content;
- Its Creator Content and Assistant do not infringe or violate any intellectual property, privacy, publicity or other right, and do not violate any law or the AUP;
- It will not upload sensitive data protected under special legislation, such as protected health information or payment card data, unless we have agreed in writing and an appropriate agreement is in place.
We are not obliged to monitor Creator Content or Assistant conversations, but we may do so, and may remove or disable content, at our discretion.
4.5 DailyLight is not a publisher
DailyLight is not the publisher or speaker of Creator Content or of Assistant responses based on it, including within the meaning of Section 230 of the U.S. Communications Decency Act. We do not endorse any Creator, its views, or its content, and we are not liable for content that is unlawful, infringing, defamatory or otherwise objectionable.
4.6 Feedback
If you send us suggestions or feedback, you assign to us all rights in it, or, where assignment is not permitted, grant us an exclusive, perpetual, royalty-free, sublicensable license to use it for any purpose. We are not obliged to use it.
5. Intellectual Property and AI Outputs
5.1 DailyLight intellectual property
The Services, Website, App, Company Documents, templates, software, models, prompts, designs, algorithms, trademarks and all related technology, and any improvements to them (other than Creator Content), belong to DailyLight and its licensors. No rights are granted except as expressly stated.
5.2 Outputs
"Outputs" means the responses, summaries, creatives and other content the Services generate. As between DailyLight and the Creator, the Creator owns Outputs generated for its Assistant and marketing, to the extent such rights exist under law and excluding any pre-existing DailyLight intellectual property. End Users may use Outputs they receive for their own personal, non-commercial purposes.
5.3 Nature of AI
AI outputs are hard to fully control or predict. Assistant responses are generated automatically, are not reviewed by the Creator or by DailyLight before being shown, and may be inaccurate, incomplete, outdated, biased, or may not reflect the Creator's actual views. Outputs may also be similar to outputs generated for others. Accordingly:
- Outputs are not professional, medical, legal, financial, psychological or pastoral advice, and must not be relied on as such;
- In an emergency, or if you are thinking about harming yourself or others, contact local emergency services, not an Assistant;
- Creators are responsible for reviewing their Assistant's behavior, configuring it appropriately, and informing their audience that it is an AI;
- Creators are responsible for reviewing marketing creatives before publishing them;
- Outputs do not represent DailyLight's views.
6. Restricted Use
You may not, and may not help or permit anyone to:
- Use the Services unlawfully, in breach of the AUP, or in a way that infringes anyone's rights;
- Build an Assistant that impersonates a real person or organization without authorization, or that hides from End Users that they are talking to an AI;
- Use an Assistant to provide services that require a license or permit, such as medical, legal, financial or psychological advice, without that license or a valid exemption;
- Use the Services for any practice prohibited, or any high-risk use regulated, under applicable law, including the EU Artificial Intelligence Act, without full compliance;
- Collect End Users' personal information through an Assistant beyond what the Services are designed for, or use it in breach of law or the Privacy Policy;
- Target or knowingly collect information from children under 13;
- Send spam or unsolicited communications, or run ad campaigns that breach the ad platform's policies;
- Copy, modify, translate, create derivative works of, reverse engineer, decompile or extract source code or model weights from the Services;
- Use the Services, outputs or Company Documents to build, train or benchmark a competing product without our written consent;
- Attempt to extract system prompts, other Creators' content, or other users' data, including through prompt injection;
- Bypass usage limits or security measures, create multiple free accounts, or access the Services by scraping, crawling or other automated means other than our published interfaces;
- Probe, scan or test the vulnerability of the Services, upload malicious code, or impose an unreasonable load on our infrastructure;
- Remove or alter any proprietary notices or the "Powered by DailyLight" attribution, unless your plan permits it;
- Sell, rent, sublicense or transfer your rights under the Terms.
7. Privacy
Our Privacy Policy describes how we process personal information and forms part of the Terms. Where DailyLight processes personal information on a Creator's behalf, our Data Processing Addendum applies.
8. Copyright and Intellectual Property Complaints
If you believe content on the Services infringes your copyright or other intellectual property right, send a written notice to our designated agent:
[DailyLight, Inc.] [Address] Attn: Copyright Agent Email: abuse@dailylight.ai
Your notice must include:
- Your physical or electronic signature;
- Identification of the work or right allegedly infringed;
- Identification of the allegedly infringing material, precise enough for us to locate it, such as the Creator's name and a link;
- Your contact details, including postal address, phone number and email;
- A statement that you believe in good faith the use is not authorized by the owner, its agent or the law;
- A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act for the rights owner.
We may remove or disable the material, notify the Creator, and terminate repeat infringers. Creators may submit a counter-notice where permitted by law.
9. Third-Party Services
The Services integrate with and rely on third-party software, AI models, hosting, payment providers, app stores, video platforms, ad platforms and other services ("Third-Party Services"). When you connect or use a Third-Party Service, you are also bound by its terms and policies. DailyLight does not endorse and is not responsible for Third-Party Services, their availability or their acts, and may add, replace or remove them at any time. The Services also rely on vendors you do not contract with directly; we do not warrant their availability or performance.
10. Fees and Payments
10.1 Creator fees
Creators pay the fees set out on the Pricing Page or in their Creator Agreement ("Fees"), which may include a subscription fee and usage-based fees per query answered by their Assistant. Fees are in U.S. dollars unless stated otherwise. You authorize us and our payment processors to charge your payment method for all Fees when due, including usage fees in arrears. Unless required by law, Fees are non-cancelable and non-refundable.
10.2 Queries and usage metering
A "Query" is a single End User message to an Assistant that receives a generated response, as further defined in the Company Documents. Queries are counted by our metering systems, whose records are final absent manifest error. Queries are consumed even when a response does not meet expectations or contains errors or inaccuracies, and are not refunded or re-credited in those cases.
Creators may set usage caps. If a Creator reaches its cap or a payment fails, its Assistant may slow, pause or switch to limited mode until the cap is raised or payment is received.
10.3 Free tier and sponsored access
We or a Creator may offer free or sponsored access to an Assistant, for example where the Creator pays for its End Users' Queries. Free and sponsored access, including any trial or promotional credits, is offered at our or the Creator's discretion and may be limited, changed or ended at any time without liability.
10.4 End User subscriptions
End Users may buy subscriptions or premium access to an Assistant through the App, our payment processor, or an app store. Prices, billing periods and included features are shown before purchase. Purchases through Apple or Google are also governed by their terms, and refunds for those purchases are handled by the app store.
10.5 Creator revenue share
Where a Creator's plan includes a share of End User subscription revenue, DailyLight collects the revenue as [merchant of record / limited payment collection agent] and pays the Creator its share as set out in the Creator Agreement, net of taxes, app store commissions, payment processing fees, refunds and chargebacks. Payouts are made [monthly] once the Creator has completed payout onboarding, including identity and tax verification. We may withhold payouts connected to suspected fraud, chargebacks or a breach of the Terms.
10.6 Chargebacks
A chargeback or reversal of a payment is a breach of your payment obligations. We may suspend or terminate your Account, and you will be responsible for the reversed amount plus related fees. Please contact support before filing a chargeback; we may dispute unwarranted chargebacks with your payment provider.
10.7 Taxes
Fees are exclusive of all taxes, levies and duties (including VAT and sales tax), other than taxes on our income. We will add taxes where legally required. You are responsible for any third-party fees, such as currency conversion or international transaction fees.
10.8 Price changes
We may change Fees and prices. For existing paid subscriptions, we will give at least [30] days' notice before a change takes effect, and the change will apply from your next billing period.
10.9 Selling to your audience
Creators are solely responsible for any goods or services they sell or promote through their Assistant or marketing, for complying with consumer protection, advertising and tax laws, and for issuing invoices where required. Creators may not offer anything prohibited by law or the AUP.
11. Term and Termination
11.1 Subscription and auto-renewal
Paid plans are billed on a recurring basis for the period you select (the "Subscription Term") and renew automatically for an equal period at the then-current price, unless you turn off auto-renewal before the renewal date. Introductory discounts do not carry over. For annual plans, we will send a renewal reminder where required by law. Once a renewal term begins, its charges are non-refundable to the maximum extent permitted by law.
11.2 Termination by you
You may cancel at any time from your Account settings or by contacting support. Cancellation takes effect at the end of the current Subscription Term. End Users may delete their Account in the App at any time.
11.3 Suspension or termination by us
We may suspend or terminate your Account, an Assistant, or any part of the Services, immediately and without liability, if: (i) we reasonably believe you breached the Terms or the AUP; (ii) Fees are overdue or cannot be charged; (iii) your use creates a security, legal or reputational risk, or may harm DailyLight, End Users or third parties; or (iv) required by law. Where practical and lawful, we will notify a paid Creator and give it a chance to cure.
11.4 Effect of termination
On termination, your rights to use the Services end, and any accrued Fees remain payable. A Creator may export its Creator Content for [30] days after termination, after which we may delete it, except as required by law, to resolve disputes, prevent fraud, or in routine backups. Exports are at the Creator's own risk and are provided as is. Provisions that by their nature should survive termination will survive.
12. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, ASSISTANTS AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. DAILYLIGHT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT.
DAILYLIGHT DOES NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL MEET YOUR EXPECTATIONS, BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HALLUCINATIONS, OR COMPLY WITH ANY LAW THAT APPLIES TO YOUR USE. OUTPUTS ARE NOT LEGAL, FINANCIAL, MEDICAL, PSYCHOLOGICAL OR OTHER PROFESSIONAL ADVICE. WHILE WE USE COMMERCIALLY REASONABLE SECURITY MEASURES, WE CANNOT GUARANTEE ABSOLUTE SECURITY. YOU ARE RESPONSIBLE FOR BACKING UP YOUR CONTENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAILYLIGHT, ITS AFFILIATES AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, AUDIENCE, GOODWILL OR DATA, ARISING FROM: (I) USE OF OR INABILITY TO USE THE SERVICES; (II) ANY OUTPUT, OR ANY ACT, OMISSION OR UNAVAILABILITY OF A THIRD-PARTY AI MODEL OR SERVICE; (III) RELIANCE ON AN ASSISTANT'S RESPONSES; (IV) UNAUTHORIZED ACCESS TO DATA; OR (V) EVENTS BEYOND OUR REASONABLE CONTROL, WHATEVER THE LEGAL THEORY AND EVEN IF ADVISED OF THEIR POSSIBILITY.
DAILYLIGHT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID DAILYLIGHT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Unless applicable law provides otherwise, any claim must be filed within one year after it arises. Nothing in the Terms limits liability that cannot be limited under applicable law.
14. Indemnification
You will defend, indemnify and hold harmless DailyLight, its affiliates and their officers, directors, employees and agents from any third-party claim, and related losses, damages, fines and reasonable attorneys' fees, arising from: (i) your breach of the Terms or applicable law; (ii) for Creators, your Creator Content, your Assistant's configuration, your marketing campaigns, or your dealings with your audience, including claims that any of them infringe or violate any right or are unlawful; or (iii) your use of the Services. We will notify you promptly of a claim. You may lead the defense, but we may take control with our own counsel at your expense. You may not settle any claim without our prior written consent.
15. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO SUE IN COURT, TO A JURY TRIAL, AND TO PARTICIPATE IN CLASS ACTIONS.
15.1 Arbitration
If you reside in the United States, or anywhere this provision is not prohibited by law, any dispute relating to the Services will be resolved by final and binding individual arbitration in English, administered by JAMS under its Comprehensive Arbitration Rules before a sole arbitrator. Judgment on the award may be entered in any competent court. Small-claims matters, claims for injunctive relief only, and intellectual property disputes may be brought in court. If your share of arbitration costs would be prohibitively more expensive than court, we will pay the amount the arbitrator determines is needed to prevent that.
15.2 Mass arbitration
If ten or more similar demands are filed, or are filed by the same or coordinating law firms, they will be administered under the JAMS Mass Arbitration Procedures.
15.3 Opt-out
You may opt out of arbitration by emailing legal@dailylight.ai within 30 days after you first accept the Terms, or within 30 days after a change to this section, from your Account email, with your full name, mailing address and a clear statement that you opt out. Opting out does not affect the class action waiver.
15.4 Class action waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DAILYLIGHT MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS FOUND UNENFORCEABLE FOR A PROCEEDING, THE AGREEMENT TO ARBITRATE WILL NOT APPLY TO THAT PROCEEDING, WHICH MUST BE BROUGHT IN A COURT OF PROPER JURISDICTION.
16. General
- Entire agreement. The Terms are the entire agreement between you and DailyLight about the Services and supersede prior understandings.
- Relationship. No partnership, joint venture, employment, agency or franchise relationship is created.
- Beta features. Features marked beta, preview or early access may contain bugs and change or be withdrawn at any time.
- Changes to the Terms. We may modify the Terms. We will give at least [14] days' notice of material changes by email or in the Services. Continued use after changes take effect means you accept them.
- Assignment. We may assign the Terms, including in a merger, acquisition or sale of assets. You may not assign them without our written consent.
- No waiver; severability. A failure to enforce is not a waiver. If any provision is unenforceable, the rest remain in effect.
- Language. The Terms are written in English. If a translation conflicts with the English version, the English version prevails.
- Governing law and jurisdiction. Except where mandatory law provides otherwise, the Terms are governed by the laws of [the State of Delaware], without regard to conflict-of-law rules. Subject to Section 15, disputes will be heard exclusively in the courts of [Wilmington, Delaware]. The UN Convention on Contracts for the International Sale of Goods does not apply.
- Contact. [DailyLight, Inc.], legal@dailylight.ai
Addendum: Residents of Israel
This addendum applies to consumers residing in Israel who purchase a paid plan or subscription ("Israeli Customers"), and prevails over the Terms where they conflict, solely regarding payment and cancellation.
Paid plans are offered to Israeli Customers as an open-ended transaction with recurring billing periods, continuing until cancelled.
Israeli Customers may cancel at any time and for any reason, in accordance with the Consumer Protection Law, 5741-1981, and its regulations. Cancellation takes effect within 3 days after we receive the cancellation notice, or within 6 business days if sent by registered mail.
- Monthly plans: we will refund the prorated portion of prepaid fees for the period after cancellation takes effect, less any cancellation fee permitted by law.
- Annual plans: we will refund the unused portion of prepaid fees, less the difference between the monthly-plan price for the period already used and the prorated annual price paid for that period.
- Refunds are net of non-refundable third-party payment processing fees, where permitted by law.
Cancellation notices can be sent through the cancellation link in your Account or by registered mail to [DailyLight Ltd., address, Israel], identifying your full name, registered email and the subscription to cancel. Subscriptions purchased through Apple or Google are cancelled through the app store.
After cancellation takes effect, your Account moves to the free plan, where available.
